III. Membership
28. The Association shall consist of an unlimited number of Members.
29. Any Owner who desires to enter a ship for insurance in the Association and any Owner whose ship is the subject or part of the subject of an application by an insurer for reinsurance by the Association and any insurer who applies for reinsurance by the Association shall, if he is not already a Member of the Association, be deemed in applying for such entry or reinsurance to have agreed that if such entry or reinsurance is accepted and he is accepted as a Member he will thereupon become and be a Member of the Association in accordance with the Bye-Laws.
Should the Owner or insurer be accepted by the Managers as a Member and the name of his be entered in the Register of Members, he will be or become a Member of the Association.
30. The Membership shall not be transferable or transmissible.
31. A Member shall ipso facto cease to be a Member: -
(1)If, being a corporation, it be wound up or dissolved;
(2) If, being an individual, he shall die or become incapable by reason of mental disorder of managing and administering his property and affairs, or he has been accepted by courts to be bankrupted or he has reached an agreement for debit payment in respect of all of his estate with creditors;
(3) If, being an insurer reinsured by the Association, he shall cease to be reinsured by the Association;
(4)If, he shall terminate the insurance in the Association in respect of all of his entered ships owned or operated by him.
(5)If, the insurance of the Member in the Association in respect of any and all ships entered by him in the Association shall be cancelled by reason of his failure to pay any amount due from him to the Association.
A Member who ceases to be a Member and his estate, personal representatives, trustees in bankruptcy, receiver or other person authorized to act on behalf of a Member who becomes incapable by reason of mental disorder of managing his property and affairs or liquidator as the case may require shall, notwithstanding such cesser, be and remain liable to pay to the Association all moneys which under the Bye-Laws or the Rules such Member would, had he not ceased to be a Member, have been liable to pay to the Association in respect of the period down to and including the 20th February next after the date of such cesser (in respect of the risks covered under Rule 3 and Rule 4 of the Rules), or in respect of the period down to and including the 31st December of that year after the date of such cesser (in respect of the risks covered under Rule 5 of the Rules).
32. Every Member shall have the rights to:
(1). elect, be elected and vote;
(2). take part in relevant meetings and activities held by the Association;
(3). be recovered from the Association in accordance with the Rules and the terms and conditions specified in the Certificate of Entry or the Endorsement Slip and be offered professional services;
(4). suggest, comment and supervise the management of the Board and the Managers;
33. Every Member shall have the duties to:
(1). execute the resolutions of the Association;
(2). protect the legal benefit and interests of the Association;
(3). pay Calls or Fixed Premiums on time;
(4). disclose, reflect and provide faithfully information, papers and documents as the Association may require.
